These Terms of Service (“Terms”) are a legal agreement between you and Jedro Labs LLC, a Wyoming limited liability company (“Jedro Labs”, “we”, “us”), governing your use of the Villanote application and website at https://villanote.com (the “Service”). By creating an account, subscribing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Who may use the Service
You must be at least 18 years old (or the age of majority where you live) and able to form a binding contract to hold an account. Accounts are for hosts and property managers; guests read the guides you publish and never need an account. You are responsible for keeping your account credentials secure and for all activity under your account, including anything published to your guests.
2. The Service
Villanote lets a host build a digital guest guide - a web page for a holiday rental's guests with the house information (Wi-Fi, check-in, house rules, appliances, local tips) - and share it by link or QR code. Guests open it in a browser, in their language, without installing anything. Features, limits and plans are described on our pricing page and may change over time as we improve the product.
3. Subscriptions, billing and renewals
- Every plan starts with a free trial. To start it you choose a plan and provide a valid payment card. Nothing is charged during the trial; when it ends, the plan you chose is charged automatically to that card unless you cancel first, and we remind you by email before the first charge.
- Paid plans are billed in advance on a monthly or annual basis and renew automatically at the then-current price for your plan until you cancel.
- You can cancel at any time from your account settings or by contacting us; cancellation stops the next renewal and you keep paid features until the end of the current billing period. Unused time is not refunded or credited except as set out in the Refund Policy or required by law.
- Moving to a higher plan or a longer billing period takes effect immediately and the prorated difference is charged at that moment. Moving to a lower plan or a shorter billing period takes effect at the end of the current paid period; the unused part of the period is not refunded or credited.
- If your plan includes fewer properties than you have published, the extra guides are taken offline (never deleted) until you upgrade or remove them.
- Refunds are governed by our Refund Policy.
4. Payments and merchant of record
Payments are processed by Stripe, which acts as the merchant of record for your purchase. Stripe is responsible for charging your payment method and for collecting and remitting any applicable sales tax, VAT, or GST. Your card details are handled by Stripe and never stored on our servers. Your purchase is also subject to Stripe's terms.
5. Acceptable use
You agree not to misuse the Service. In particular, you will not: break the law; infringe others' rights; attempt to access accounts or data that are not yours; probe, scan, or overload our systems; reverse-engineer or resell the Service; or use it to store or transmit malicious code. We may suspend or terminate accounts that violate these Terms.
6. Your content and your guests
The guide content you create - texts, photos, contacts, links - belongs to you. You grant us a limited licence to store, process and display it solely to operate the Service: to show it to the guests who hold your guide's link (and passcode, where you set one), to translate it, and to send it to the AI providers listed in our Privacy Policy when you ask for a draft or a translation. You confirm that you have the right to publish everything you upload - in particular photos and texts you did not create yourself - and that your guide does not contain personal data of your guests. We may remove content that is unlawful or that violates these Terms. We do not sell your personal data. You can export or delete your data as described in the Privacy Policy.
7. Intellectual property
The Service, including its software, design, templates and branding, is owned by Jedro Labs and protected by intellectual-property laws. These Terms grant you a personal, non-transferable, non-exclusive right to use the Service while your account is in good standing - nothing more.
8. Not an emergency service; the information is the host's
A guide contains information provided by the host: Wi-Fi and door codes, house rules, appliance instructions, recommendations and emergency contacts. The host is responsible for the accuracy, completeness and legality of that information; Villanote does not verify it. Guests in an emergency must contact the local emergency services directly - the Service cannot summon help and does not monitor guest messages.
9. AI-assisted features
Some features use artificial intelligence: drafting a guide from a listing or a document you provide, and translating your texts. AI output can be inaccurate or incomplete. It is offered as a first draft for you to review, and you are responsible for what you publish.
10. Disclaimers
The Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or that it will meet your requirements.
11. Limitation of liability
To the fullest extent permitted by law, Jedro Labs will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, bookings or data. Our total liability for any claim relating to the Service is limited to the amount you paid us for the Service in the twelve (12) months before the event giving rise to the claim.
12. Termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms or if we are required to by law. On termination, the licences granted to you end and your guides go offline; sections that by their nature should survive (ownership, disclaimers, liability limits, governing law) will survive.
13. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will update the “Last updated” date above and, where appropriate, notify you. Continued use of the Service after changes take effect means you accept the updated Terms.
14. Governing law
These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws rules. The courts located in Wyoming will have jurisdiction over any dispute, except where mandatory consumer-protection law in your country of residence gives you additional rights.
